1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and CureNexis Technologies Private Limited ("CureNexis", "we", "us", "our"), governing your use of the CureNexis platform, including our website, web application, and mobile application (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age, or be a minor using the Platform under the supervision and with the consent of a parent or legal guardian
• Be a resident of India or accessing the Platform in accordance with applicable laws of your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Platform under any applicable law

Healthcare institutions and professional users (doctors, nurses, diagnostic centres) must hold valid licences and registrations as required under Indian law, including but not limited to registration under the National Medical Commission Act, 2020 and the Clinical Establishments (Registration and Regulation) Act, 2010.

3. User Accounts

To access most features of the Platform, you must register and create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that contain false information or that we have reason to believe have been compromised.

4. Services Provided

CureNexis provides a digital health records management platform that includes:

• Secure storage and management of personal health records
• Controlled sharing of medical data with authorised healthcare providers
• AI-assisted summaries and health insights based on uploaded data
• Secure messaging and communication between patients and care teams
• Integration with Ayushman Bharat Digital Mission (ABDM) Health IDs where applicable

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with reasonable notice where practicable.

5. Medical Disclaimer

AI-generated summaries and health insights provided on the Platform are for informational and administrative purposes only. They are not diagnostic tools and must not be used as the sole basis for any medical or clinical decision. Always consult a qualified healthcare professional for any medical concern.

In case of a medical emergency, please contact emergency services immediately (dial 112 in India).

6. Prohibited Conduct

You agree not to use the Platform to:

• Upload false, misleading, or fraudulent health information
• Impersonate any person, healthcare professional, or institution
• Gain unauthorised access to another user's health records
• Attempt to reverse-engineer, hack, or disrupt the Platform's security systems
• Use the Platform for any purpose that violates any applicable Indian law, including the Information Technology Act, 2000 and the Indian Penal Code
• Transmit malicious code, spam, or unsolicited communications
• Use the Platform to process health data of third parties without proper authorisation
• Scrape, crawl, or systematically extract data from the Platform

7. Intellectual Property

All content, trademarks, logos, software, algorithms, and intellectual property on the Platform are owned by or licensed to CureNexis Technologies Private Limited. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all health data and records you upload to the Platform. By uploading data, you grant CureNexis a limited, non-exclusive licence to process your data solely to provide the services described in these Terms and our Privacy Policy.

8. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your personal and health data.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• CureNexis is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform
• Our total aggregate liability for any claim arising under these Terms shall not exceed the amount paid by you to CureNexis in the twelve months preceding the claim
• CureNexis is not responsible for the accuracy, completeness, or currency of health data uploaded by users or third-party providers
• We do not guarantee uninterrupted, error-free access to the Platform

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

10. Termination

You may deactivate your account at any time by contacting us at [email protected]. We may terminate or suspend your access to the Platform immediately, without notice or liability, for any breach of these Terms or applicable law.

Upon termination, your right to use the Platform ceases. We will retain your health data for the period required by law and as described in our Privacy Policy, after which it will be deleted.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.
